Board Nomination Information 2018 - AGM, May 14th, 2018 Save the Date!

The role of the Board of Directors (“Board”) of Internet Society Canada Chapter (“ISCC”) is to provide strategic direction and oversight to help guide ISCC as it fulfills its mandate to be a recognized thought leader in the advancement of sound Internet policy development, education and related activities in Canada and beyond.

At the annual meeting, which will be held on May 14, 2018, ISCC voting members (i.e., individual Canadian Resident Voting members) will have the opportunity to elect five individuals to serve twoyear terms as Directors of ISCC and two individuals to serve one-year term as a Director of ISCC. As a result, the ISCC Nominating Committee is seeking expressions of interest from Canadian Resident Voting members who wish to be considered for election to fill these seven available positions.

We are especially seeking candidates who have governance, financial, legal, technical, industry, fundraising, sponsorship or government experience, or other valuable relationships that would benefit ISCC. ISCC also strives to reflect gender and regional diversity on its Board.

ISCC is a relatively new organization which depends on volunteers to advance its objectives. Accordingly, Directors are expected to prepare for and attend up to 13 Board meetings per year, participate on at least two committees, and generally assist with one or more of ISCC’s core activities, which are Internet policy development, membership development and attracting sponsorships, and/or programs and events planning and execution.

As further described below, being nominated by the Nominating Committee does not in any way guarantee election as a Director.

In order to be considered for nomination, an applicant must be an individual who is not less than eighteen (18) years of age and who is a Canadian Resident Voting member of ISCC at the time of application. You may become a Canadian Resident Voting member by applying at http://internetsoc.wpenginepowered.com/membership. You must also be a member of the Internet Society (ISOC) https://portal.isoc.org/join.

Applicants must send an email containing the identifying/contact information and answers to all of the questions set out below to ISCCnominations@gmail.com by no later than 5:00 P.M.

Eastern Time on April 13, 2018. Incomplete and/or late applications and applications from individuals who are not Canadian Resident Voting members of ISCC at the time they apply, will not be considered.

An applicant’s email must include the following identifying/contact information: Salutation, First Name, Last Name, Address, City, Province/Territory, Postal Code, Email Address, Telephone Number (daytime).

An applicant’s email must also include responses to the following:

  1. Provide a statement of up to 1,000 words in length indicating why you should be elected as an ISCC Director and include relevant biographical information.
  2. Are you seeking a one-year or two-year term as director? (please bear in mind that you may not necessarily be appointed to your preferred term)?
  3. Why do you want to be on ISCC’s Board of Directors?
  4. What specific skills or experiences do you have that make you the best candidate for the ISCC
    Board?
  5. What do you feel are the top three challenges and opportunities facing the Canadian Internet
    Community during the next three to five years?
  6. What specific actions do you propose to address one or more of these challenges and
    opportunities?
  7. Please describe your understanding of the role of a Director on the ISCC Board.
  8. If elected as a Director, can you make the required time commitment to contribute
    significantly to ISCC in accordance with what is generally expected of Directors?
  9. If elected as a Director, are you prepared to abide by the ISCC Articles of Continuance,
    Bylaws, Board Resolutions and Policies as amended from-time-to-time?
  10. Do you agree to abide by the ISCC process for candidate nominations for the election of
    Directors that has been described to you?

The name, email address and the answers to the questions of successful nominees will be posted on the ISCC website as campaign information for voting members to view during the period leading up to the actual election at the annual meeting.

Once the expression of interest phase has closed, the Nominating Committee will select a slate of those applicants it considers to be the top seven candidates as nominees for election to the Board. The candidates will be selected based on the attributes that they possess that will help promote the governance capacity of the Board, including their answers to the ten questions set out above. The selection of nominees will be concluded by no later than April 23, 2018 and those selected to be nominees at the election that will take place at the annual meeting will be notified within 48 hours of the finalization of the slate. Their campaign information will be posted on the ISCC website.

On the day of the annual meeting (May 14, 2018) the Nominating Committee will present its slate of nominees for election as Directors. Please note that other nominations may also occur at the annual meeting. If that occurs and there is a contested vote for the election of Directors, it is possible that individuals nominated by the Nominating Committee will not be elected as Directors. Accordingly being nominated by the Nominating Committee does not in any way guarantee election as a Director.
